Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Conyvex platform, websites and APIs (together, the “Service”) provided by Conyvex LLC (“Conyvex”, “we”, “us”). By creating an account or using the Service you (the “Merchant”) agree to these Terms.

1. Acceptance of the Terms

By signing up for, accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by all policies referenced within them, including our Privacy Policy and Cookie Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, you must not use the Service.

2. The Service and how Conyvex sells on your behalf

Conyvex is a global payments and tax platform. This section is the core of the relationship and you should read it carefully.

  • We sell on your behalf. When an end customer purchases a product you offer through the Service, Conyvex processes and sells the product to the customer on your behalf, and appears as the merchant on the customer's receipt and statement.
  • You retain your product and IP. You remain the owner and creator of your software, content and intellectual property, and keep your brand and customer relationships. You grant Conyvex a limited, non-exclusive licence to distribute and sell your product to end customers for the purpose of providing the Service.
  • We assume defined commercial liabilities. Conyvex takes on responsibility for transaction tax collection and remittance, payment processing, fraud screening and chargeback liability, as further described in these Terms.

This relationship does not create a partnership, joint venture, agency or employment relationship between you and Conyvex beyond what is expressly stated here.

3. Your account

You must provide accurate and complete information when you register and keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must notify us promptly at hello@conyvex.io if you suspect any unauthorised use. You must be at least 18 years old and capable of forming a binding contract to use the Service.

4. Fees and payouts

Conyvex charges a per-transaction fee as set out in your pricing plan or order form. Our fee is deducted from the gross amount paid by the end customer before payout.

  • Settlement. We consolidate proceeds across currencies and payment methods and pay you out, by default, on a T+1 basis, net of our fees, applicable taxes we have collected, refunds and chargebacks.
  • Reserves. We may hold a rolling reserve or delay a payout where reasonably necessary to cover anticipated refunds, chargebacks or risk exposure. We will tell you the basis for any reserve.
  • Currency conversion. Where proceeds are converted into your payout currency, the applicable exchange rate and any conversion spread will be shown in your dashboard.
  • Taxes on our fees. Our fees are exclusive of any taxes that may apply to the supply of the Service to you; such taxes, where applicable, will be added to your invoice.

5. Taxes

Because Conyvex sells to end customers on your behalf, we calculate, collect, file and remit applicable sales tax, value added tax (VAT) and goods and services tax (GST) on qualifying sales to end customers in the jurisdictions we support. Your business name will not appear on those tax returns for transactions processed through the Service.

You remain responsible for your own corporate income taxes, for taxes on the payouts you receive from us, and for any taxes arising from activity that is not processed through the Service. You agree to provide accurate tax classification and product information so we can determine the correct tax treatment, and you are responsible for the accuracy of that information.

6. Refunds and chargebacks

You set the refund policy for your product within the limits required by applicable consumer law. Conyvex processes refunds and represents disputes on your behalf.

  • Refunds are returned to the end customer through the original payment method and are deducted from your settlement, net of any non-refundable processing costs as described in your plan.
  • Conyvex carries chargeback and fraud liability on transactions processed through the Service and will represent chargebacks with the relevant card networks. We may recover the value of fraudulent or charged-back transactions from your balance where the loss results from your breach of these Terms or from misrepresentation of your product.

7. Acceptable use

You agree not to use the Service, and not to permit any end customer to use it, to:

  • sell goods or services that are illegal in the customer's or your jurisdiction;
  • sell prohibited categories, including weapons, controlled substances, adult content involving minors, counterfeit goods, or items that infringe third-party intellectual property;
  • engage in fraud, money laundering, sanctions evasion or financing of unlawful activity;
  • misrepresent your product, pricing, or business identity, or process transactions on behalf of an undisclosed third party;
  • interfere with, probe or attempt to gain unauthorised access to the Service or its underlying infrastructure.

We may screen, suspend or reverse transactions, and suspend or terminate accounts, that we reasonably believe breach this section or expose Conyvex, end customers or payment networks to risk.

8. Service availability and support

We aim to provide a highly available Service and target the uptime commitment stated in your plan or applicable service level agreement. We may perform scheduled maintenance and will use reasonable efforts to give advance notice. We do not warrant that the Service will be uninterrupted or error-free.

9. Confidentiality and data

Each party will protect the other's confidential information. Our handling of personal data is described in the Privacy Policy. Where Conyvex processes personal data on your behalf, the parties will comply with the applicable data processing addendum.

10. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Conyvex does not warrant that the Service will meet your requirements or be free from defects.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Subject to the foregoing, each party's aggregate liability arising out of or relating to these Terms will not exceed the total fees paid or payable by you to Conyvex in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You will indemnify and hold Conyvex harmless against third-party claims arising from your product, your breach of these Terms, your violation of applicable law, or your infringement of third-party rights. Conyvex will indemnify you against third-party claims that the Service infrastructure infringes that third party's intellectual property rights.

12. Term and termination

These Terms apply for as long as you use the Service. Either party may terminate on notice as set out in your plan. We may suspend or terminate your account immediately if you materially breach these Terms, present an unacceptable risk, or fail to pay amounts due. On termination we will pay out any undisputed balance owed to you, subject to any applicable reserve and to chargeback windows.

13. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will give reasonable notice by email or through the platform before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules, except where mandatory local consumer-protection law applies. The parties will attempt to resolve any dispute in good faith; failing that, the state and federal courts located in the State of Wyoming will have jurisdiction, subject to any non-waivable rights you may have in your country of residence.
